1Agreement to Terms
These Terms of Service ("Terms") are a binding agreement between you ("User," "you") and RadiusMapper ("we," "us") governing your access to our website, API, and subscription services (the "Service").
By accessing or using the Service, you agree to these Terms. If you disagree with any part of them, do not use the Service.
2Service Description
RadiusMapper provides geospatial analysis and visualization tools, including:
- Travel-time and distance calculations across multiple transportation modes
- Interactive mapping and visualization tools
- API access for integration with third-party applications
- Data analysis and reporting capabilities
3User Accounts
Some features require an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your account credentials secure
- Accept responsibility for all activity that occurs under your account
- Notify us immediately of any unauthorized access
We may disable any account that violates these Terms.
4Acceptable Use
You agree not to:
- Use the Service in any way that violates applicable laws or regulations
- Probe, scan, or test the security of our systems without authorization
- Interfere with or disrupt the performance of the Service
- Attempt to gain unauthorized access to the Service or related systems
- Use automated scripts or bots to access the Service without our permission
- Reverse engineer or extract the source code of our software
- Circumvent or disable security features of the Service
- Create multiple accounts to evade restrictions or limits
5API Terms
If you use our API, you additionally agree to:
- Keep your API credentials secure
- Comply with all rate limits and usage restrictions
- Implement caching as specified in our documentation
- Display appropriate attribution when using our data
- Not cache or store our data beyond permitted timeframes
- Not redistribute or resell our API or data without written permission
6Payment Terms
Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing you agree to:
- Provide accurate and complete billing information
- Pay all fees at the rates in effect when charges are incurred
- Pay any applicable taxes in addition to subscription fees
- Maintain valid payment information on file
Subscriptions auto-renew at the end of each billing period unless cancelled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you retain access until then. We do not issue refunds for partial periods.
We may change our pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new rates.
7Data Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
If you process end-user data through the Service, you agree to:
- Collect and process user data in accordance with applicable privacy laws
- Obtain all necessary consents for data collection and processing
- Implement appropriate security measures to protect user data
- Notify us promptly of any data breaches affecting our Service
8Intellectual Property
The Service and its original content, features, and functionality are owned by RadiusMapper and protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.
You retain ownership of any data you upload to the Service. You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display that data solely to provide and improve the Service.
9Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. Mapping, routing, and travel-time results are estimates and should not be relied upon as the sole basis for operational, legal, or safety-critical decisions.
10Limitation of Liability
To the maximum extent permitted by law, RadiusMapper shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100). These limits apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11Indemnification
You agree to defend, indemnify, and hold harmless RadiusMapper and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your use of the Service.
12Termination
We may suspend or terminate your account and access to the Service at any time, without prior notice, for any violation of these Terms.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including ownership, warranty disclaimers, indemnity, limitations of liability, and the dispute-resolution terms below — will survive.
13Dispute Resolution; Arbitration; Class Waiver
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by emailing [email protected] with a short description of the dispute and the relief sought. We'll try to resolve it within 60 days.
Binding arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in the English language in Wilmington, Delaware, or remotely by agreement. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. You and RadiusMapper agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Carve-outs. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual-property rights.
30-day opt-out. You can opt out of this arbitration agreement and the class-action waiver by emailing [email protected] within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your account email in the body. Opting out does not affect the other provisions of these Terms.
14Changes to These Terms
We may modify these Terms from time to time. If a revision is material, we'll provide at least 30 days' notice before it takes effect. Continuing to use the Service after revisions become effective constitutes acceptance.
15Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Subject to the arbitration provision above, any action that is not required to be arbitrated will be brought exclusively in the state or federal courts located in Delaware.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver of that right.
